Licensing teams

Contracts and IP

Contracts and IP make every grant enforceable. The team protects the trademarks and copyrights the program stands on and turns agreed deal terms into signed agreements. Through the term, it handles renewals, expiries and breaches.

In most licensors this work sits in the legal department, working side by side with the licensing team.

Team setup

Where the team sits

The work is the same in every licensor. Who does it changes with size and business model.

Small licensor

Outside counsel for registrations and agreements, with the licensing lead managing the paperwork.

Enterprise

In house counsel for consumer products in the legal department, an IP or trademark team, and contract administrators.

Agency

The agency drafts and administers agreements on the client's paper; the client's counsel protects the IP.

People

Roles in this team

Each role page covers the duties, individual KPIs, skills and career path. This page covers the team as a whole.

Roles that work with this team
  • Consumer products or business affairs counsel
  • Trademark and IP counsel or paralegal

Handoffs

How work flows in and out

Receives
From commercial and IP owners

The signed deal memo, agreed terms and confirmation of who owns the IP.

Hands off
To finance, creative and operations

The executed agreement with its rights grid, financial terms and obligations.

Handoffs to watch
  • Strategy to execution: Strategy is shared as a document, so nothing downstream can check itself against it, and agents work from a copy that ages.
  • Qualification to conflict check: The double licensing check depends on someone remembering the whole rights position. This handoff has the highest cost of failure.
  • Deal memo to agreement: Agreed terms are retyped, and every retyping is a chance for the record and the contract to disagree.
  • Agreement to finance: If the financial schedule is not structured here, every royalty check downstream is guesswork.
  • Agreement to partner: Onboarding quality here sets the first pass approval rate for the whole term.

Tools and methods

How the work gets done today

  • Word templates, redlining and email
  • Contract lifecycle tools and e-signature
  • Trademark registries, watch services and outside counsel
  • Marketplace monitoring for counterfeits
  • Spreadsheets for renewal notice windows and expiry dates

Measures

KPIs for the contracts and IP team

Flowhaven recommended measures for the team as a whole. Individual KPIs sit on each role page.

KPIHow to calculate it
Deal memo to signatureDays from approved deal memo to executed agreement
Agreements structured in the systemShare of active agreements whose terms are stored as structured data
Deviation from standard termsShare of agreements with non standard clauses
Renewal notices on timeRenewal and expiry decisions made before the notice window closes
Protection coverageActive categories and territories covered by a registration
Infringement cases closedCounterfeit and out of scope cases resolved per quarter

AI and the work

How AI is changing this team

Retyping terms and rereading redlines shrink. Lawyers can focus on the unusual clauses and on enforcement.

Today. Through an integration, deal terms can be turned into follow up tasks for every obligation and milestone in one confirmed batch.

What we are exploring next
  • Drafting the agreement record from an uploaded contract
  • Clause level search across the agreement base
  • Renewal risk signals ahead of each notice window

Flowhaven

How Flowhaven helps the contracts and IP team

  • Agreements live next to the accounts, approvals and royalties they govern, so terms entered once drive approvals and royalty logic
  • Agreement templates with merge fields, set up per customer
  • Signature through DocuSign, with the signed PDF stored on the agreement
  • Expiry and renewal alerts, and amendments with version history
  • Asset access that closes at the end of the term, and configurable sell off reporting

Good to know. Trademark and IP protection records are not standard, but can be added as custom fields in your Flowhaven setup. A breach and termination workflow is not standard today.

“I love seeing everything at a glance, and the ability to constantly have reports shared out to the teams with customizable columns, so each team gets what they need in a format that makes sense for how they work.”
